Terms of Service

The agreement that governs your use of SQL Optimizer, including what the output can and cannot be used for.

1. The agreement

These terms are an agreement between you and the operator of SQL Optimizer, an individual developer established in the People's Republic of China. By using the service you accept them. If you do not accept them, do not use the service.

If you use the service for an employer or client, you confirm you are allowed to accept these terms on their behalf.

2. What the service does

You paste a SQL statement, choose a database engine and version, and receive a rewritten statement with an explanation, plus optional suggestions about indexes, statistics and schema. One optimization consumes one unit of your allowance.

The service is a drafting aid. It does not connect to your database, does not execute anything, and does not inspect your real data or statistics unless you paste them.

3. The output is not professional advice, and you must verify it

The output is generated by a machine learning model and may be wrong. It may reference tables or columns that do not exist, assume an index that is absent, change behaviour in a case the model did not consider, or be syntactically valid but semantically different from what you intended.

You are responsible for reviewing, testing and approving every statement before you run it, and for having backups and a rollback plan for any change you apply to a production system. The service does not provide legal, security, financial or other professional advice.

We do not warrant that the output is accurate, complete, fit for a particular purpose, or free of defects, and we do not warrant uninterrupted availability.

4. Limit of liability

To the maximum extent permitted by law:

  • We are not liable for lost profits, lost revenue, lost data, business interruption, or any indirect or consequential loss.
  • We are not liable for any decision you take, or any statement you execute, on the basis of the output.
  • Our total aggregate liability arising out of or in connection with the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim, or USD 50 if you have not paid anything.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, for fraud, or for any statutory right you have as a consumer.

5. Accounts

You can use the free allowance without an account. An account is created when you sign in with Google; we receive your name, email address and profile picture.

You are responsible for activity under your account and for keeping access to your Google account secure. One person, one account: do not share credentials.

You may delete your account at any time. We may suspend or terminate an account that breaches these terms or the Acceptable Use Policy, or that we are required to suspend by law.

6. Acceptable use

The Acceptable Use Policy forms part of these terms. In short: do not submit material you have no right to disclose, do not try to bypass the allowance, do not resell the service without permission, and do not use it to build a competing dataset.

7. Plans, prices and taxes

Current plans, prices and included allowances are shown on the pricing page and form part of these terms. We may change prices; a change never applies retroactively to a period you have already paid for, and we give at least 30 days' notice before a renewal charges a new price.

Prices are quoted in US dollars and include applicable taxes. Where tax applies — for example VAT for EU consumers — the tax component is calculated at checkout based on your billing country and itemised separately; the total you pay is the price shown. This applies to monthly and yearly prices alike.

8. Billing, renewals and the merchant of record

Payments are processed by Waffo, which acts as merchant of record. Waffo is the seller of record for your purchase, handles your card data and tax, and its terms also apply to the payment.

Paid plans renew automatically at the end of each billing period — monthly or annually — at the price in effect, until you cancel. We disclose the renewal price and period before you pay, and we send a reminder before an annual renewal where the law requires one.

You can cancel at any time; the Cancellation Policy explains how and when it takes effect. Cancelling stops future charges but does not refund the current period, except where the Refund Policy or mandatory law says otherwise.

9. Cancellation and the right of withdrawal

Consumers in the European Union and the United Kingdom normally have 14 days to withdraw from a distance contract. Because the service is digital content supplied immediately, we ask you to acknowledge at checkout that supply begins immediately and that you lose the withdrawal right once it has begun. Where you have not been asked, or where mandatory law gives you a longer period, your statutory right applies and is not affected by these terms.

10. Your content

You keep all rights in the SQL, schema and execution plans you submit. You grant us a limited licence to process them for the sole purpose of producing your result and operating the service. We do not use them to train models, and we do not publish them.

We own the service, its interface, its prompts and its documentation. These terms do not grant you any right to copy, resell or reverse engineer the service, except as permitted by law.

11. Availability and changes

The service is provided as it is. We may change features, add or remove supported dialects, or suspend the service for maintenance. We aim to give reasonable notice of changes that materially reduce what a paid plan includes, and if we remove a material part of a paid plan mid-period you may cancel and request a refund for the unused part.

12. Termination

You may stop using the service at any time. We may terminate these terms if you materially breach them, if we are required to by law, or if we discontinue the service. On termination your right to use the service ends; sections that by their nature survive — including content ownership, liability limits and governing law — continue to apply.

13. Indemnity

You agree to indemnify us against claims and costs arising from your breach of these terms or the Acceptable Use Policy, or from your use of the output in a way that harms a third party. This does not apply to the extent the claim results from our own breach or negligence, and it does not apply to consumers acting in a personal capacity where mandatory law says otherwise.

14. Governing law and disputes

These terms are governed by the laws of the People's Republic of China, and the courts at the operator's place of residence have jurisdiction, except that:

  • If you are a consumer, you keep the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts there.
  • If you are in the European Union, you may also use the consumer dispute resolution body in your country.

Before starting proceedings, please write to support@sqloptimizer.online and give us 30 days to resolve the matter.

15. Age, sanctions and export

You must be at least 16 in the European Economic Area and the United Kingdom, and at least 13 elsewhere, to use the service. You confirm you are not located in, or acting on behalf of, a country or entity subject to comprehensive trade sanctions, and that you will not use the service in breach of export control law.

16. Language

These terms are published in English and Chinese. If the two versions differ, the English version prevails, except where mandatory consumer law in your country of residence requires otherwise and gives you the protection of the local-language version.
